they directed me to change the amount of the salary on SAP
manually until the responsible of the SAP setting the actual

-The communication is semi hard because the employees in all
department is not in one building and some of the in Riyadh.
-How to order a service for my desk (PC- telephone-access for

The company provides systems for meetings (WebEx)
(Sisco jabber: office telephone – Chat – Share screen)
to make the communication operation as much as easy for all
employees.
The company provide system calls (AMER) so when I need a
service or facing any technical issue, I request a support
from (AMER).

Executive Summary
This is a summary of my internship experience at Arbah Capital in regards to fulfilling my Bachelor of
Business Administration with a major in finance and a concentration in Account at Saudi Electronic
University. The duration of my internship was between September 4, 2022 up to November 12, 2022.
Arbah capital is a financial services and investment company based in Al Khobar in Saudi Arabia. It
focuses its investments on real estate and private equity while providing asset management and
portfolio management services for high-wealth individuals and institutions as well as provides
corporations with financial consultancy on capital restructuring and initial public offers. My internship
in Arabah Capital involved a rotation between the following departments:

Investment Administration
o Learned the different investment structures used for real estate investments
o Completed SPV transfer forms for 21 SPVs to a new fund administrator
o Documented the internal processes of the department into process flow charts
o Coordinated the calculations and preparation of bank documents for the distribution
of dividends to investment funds investors.

Operations
o Short lived stay where I’ve gotten a high level overview of operations but was
interrupted due to the resignation of the head of the department.

Asset Management
o Analyzed equities listed on the Saudi stock market to arrive at fair value
o Learned the requirements and regulations of investment funds available to the public
o Learned the process of gathering IPS and establish a DPM agreement with clients
o Learned of the restrictions concerning DPM management and investor interference

o Learned the importance of establishing Chinese walls between departments

Description of the company
The company is titled Arbah Capital, referred to as Arbah hereon forward, and it is a closed joint
corporation licensed by the Capital Market Authority to do the following activities:

Arbah was established in 2008 and while most capital companies are based in Riyadh region, it is one
of the few capital companies that are headquartered in the eastern region of Saudi Arabia. It has a paid
capital of 142 million riyals and focuses on shariah compliant investments and offerings.
Arbah is a closed joint stock company. The list of shareholders and their ownership is held privately and
I did not get permission to share it publicly.
The company operates in the financial services and investment sector. The full organization chart is
attached in appendices and has around 50 employees. The services provided to clients in each of its
departments:

o An active money market investment fund

o Relationship management with high-value clients
o Management of the IPS of the high-value clients

o Consultation of capital restructuring

The customer base include but not limited to high-wealth individuals, public institutions, private
corporations, not-for-profit , and any individual or institution allowed by CMA regulations to invest
within the Saudi market.

Internship Activities
I joined Arbah in September 4, 2022 as an intern to go on a rotation of the following departments:

Asset Management

Corporate Advisory (replaced by Compliance)

Below I will share my experience in each department:
Investment Administration
The investment administration functions as a control department on the investment department. It is
tasked with administrating the structuring of investments funds specifically the offshore real estate
investments and the administration of funds subscriptions and distribution of dividends to the
investors in the funds. It also includes the analysis and verification of the investment’s financial
models as provided by the investment department to ensure their reasonableness. While the
Investment Administration does not have decision rights when it comes to the accepting or
rejecting of investments opportunities, it does however have to provide its feedback to upper
management on the reasonableness of the investment.

The investment administration is a relatively newly formed department in Arbah. It has been
established 3 months prior to my joining of Arbah and is led by the head of Investment
Administration Mr. Hamdi Alsayed who has one direct report Mrs. Lama Alhamed. Together they
are managing the administration of 9 currently existing investment funds focused on the global real
estate sector.
The investments in the global real estate market are structured as funds and each fund is structured
through a multitude of hierarchal Special Purpose Vehicles (SPVs) operated in a tax efficient
jurisdiction such as Jersey or Cayman Islands. The reason for this hierarchy of SPVs is for the fund
to achieve the optimum tax efficiency in reducing taxation costs for global real estate investments
and also to achieve a shariah compliant structure in terms of its financing.
Part my experience in Investment administration was to research the Offshore/Onshore real estate
investment structures and to understand the existing funds structures at a higher levels. I was also
tasked with the preparation of the transfer of SPVs from one fund administrator to another in the
jurisdiction they are established in (in our case Jersey) which included the preparation of the
documents and filling of the forms necessary for this transfer. The transfer included almost 21
SPVs and we were able to complete them successfully.
Another major task I worked on was the documenting of the process of the Investment
Administration department and the identification of the handshake points with other departments. I
utilized diagrams.net charting software to achieve this. See appendix for a sample.
Finally, I was tasked with the calculation and preparation of the necessary bank documents for the
dividend distribution of investors for one of the investment funds in order to coordinate with the
finance department to disburse those distributions. In order to achieve this efficiently, I developed
an excel form that automatically pulls the necessary data and prepare the print form to be printed
and managed to complete the task in a timely fashion. The developed form is now used as part of
internal processes within the department.

Operations
My time in the operations department was brief and short due to lack of availability of resources to aid
in my training. The head of the department Mr. Ashraf Alshurafa had just given his notice of
resignation and was in the process of handing over the work to the person taking over. Having said that,
he did walk me briefly through the importance of the operations department and where it intersects with
other departments, but it was at a very high level. It concluded abruptly and I was transferred to another
department within the day. No tasks or activities were given other than the initial meeting with the head
of operations.

Asset Management
The Asset Management department has 3 main areas of focus in Arbah:

Discretionary Portfolios Management (DPMs)

Capital Market equities trading and analysis

Money Markets funds management

During my time in Asset Management, I was under the supervision of the head of Asset Management
department Mr. Mohammad Alfarraj and working with my colleagues, Mr. Saad Almuammar, a
Discretionary portfolio manager and equities technical analyst, Mr. AbdulAziz Almuammar, a money
market fund manager and Discretionary portfolio manager, Ms. Shahad Alotaibi, who is a fund
administrator reporting to Mr. Abdulaziz almuammar, and Mr. Abdulrazzag Alyahya who works on the
internal operations and administration part of Asset Management. It was an honor working with this
team as they hold a truly inviting atmosphere and were very receptive to any inquiries I had.
I was tasked with learning the internal processes of asset management along with the regulations
concerning the functionalities within the department. For example, I’ve come to learn the regulation
limitations of managing money market funds such as the requirement of holding the Capital Market
Examination 4 certification in order to fill such position. Also, the regulatory requirements of the
maximum of concentration of assets within each country should not exceed 25% of the assets under

management for countries other than Saudi Arabia. Added to that, the concentration of assets should not
exceed 25% into a single money market securities issuer as a way of managing the risk. I’ve also
learned about the valuation of the fund to arrive at the Net Asset Value (NAV) and the Net Asset Value
of the unit within the fund. It also was a good exposure on the terms and conditions of investment funds
and the different fees associated with the fund ranging from subscription fees, management fees, exit
fees, performance fees, and so on and so forth.
With regards to Discretionary Portfolio Management, due to privacy and confidentiality concerns I
wasn’t allowed to play a part in the management. Having said that, I was exposed to how the
Investment Policy Statement (IPS) for each investor is collected and analyzed in coordination with the
wealth management department representative and learned of the various restrictions an investor may
place on his portfolio. These restrictions include but not limited to the choice of sectors the investors
would like to either include or exclude, any disclaimers regarding his potential conflict of interest for
any security, the investor’s preferred risk appetite, and liquidity requirements, and so on and so forth.
What I have found interesting is the regulation banning any involvement of the investor in the decision
making of the investments within his DPM. According to CMA regulations, decisions whether to invest
or not invest in a security and at what prices must be exclusive in the hands of the portfolio manager
and the investor must not have any involvement in the decision-making process (beyond what he’s
already stated as restrictions within his IPS and DPM agreement). This, I have come to learn, is to avoid
security manipulation via third-parties and isolate the behavior of the portfolio manager from the
behavior of the investor himself. Any violation of this policy will result in fines on financial institution
and the portfolio manager would be internally disciplined.
Arbah does not have a dedicated equity research department and therefore the equity analysis is
outsourced, and third-party equity research service providers are used. However, the asset management
team does some internal equity fundamental analysis and relies also on technical analysis to identify
market trends and the opportune timing to enter or exist an investment opportunity. There wasn’t an
identifiable set of criteria to be used when doing the technical analysis in the department. The team
relied heavily on their own extensive experience in trading securities in the market and have done well

doing so. I did not have a chance to dig deeper into the technical analysis part and I would have liked to
see a more structured approach to it.
Finally, I was tasked with doing fundamental analysis of companies listed in the Saudi market. Focused
on SIPCHEM, SABIC, JARIR , ALAHLI, ALRAJHI as a way to practice analysis skills. At the
direction and guidance of the head of asset management, I have reviewed my analysis with him and he’s
provided guidance and feedback on how to use fundamentals to estimate a company’s fair value and
share price whether by using a Discounted Cash Flow approach or using market multiples approaches.
Due to the lack of information on the forecasts of companies, we’ve relied more on market multiples
approach. This task was done purely for training purposes and did not add value within the department,
however it was extremely informative and a great learning experience. Much of the theory we’ve
learned into Finance 101 and Finance 201 courses especially regarding the ratios analysis was very
helpful in this analysis and praised by my supervisor. I’ve also found the material of the CME-1 and
CME-4 useful in my internship experience here as I had already completed these two certifications last
year.

Compliance and Anti-Money Laundering (AML)
I was originally scheduled to rotate towards Corporate Advisory at the end of my rotation. However, the
company had offered me an opportunity to potentially join them as a compliance officer and for that I
had requested to join the compliance department instead to learn their processes.
The compliance department is focused on ensuring the company is complying with the regulatory
requirements of the capital market Agency and with Anti-Money Laundry laws and regulations. In
order to fill a position within the department, the employee must pass the Capital Market Examination 2
which focuses on Compliance and Anti-Money Laundering regulations. It is currently being managed
by Mr. Ibrahim Aldhawyan at Arbah. The compliance person is registered individual with CMA.
Meaning, the person need not only be certified but also approved by CMA to hold this position in a
financial institution and any changes to the person holding this position must be immediately shared
with CMA for approval. This is due to the critical nature of the position as the person has accountability

and obligations towards CMA and could be held personally liable for fraud or misrepresentation.
Since the company has offered me the opportunity to join the compliance department, I spent most of
my time in the compliance department reading and learning the regulations posted by CMA. Also, I
studied the CMA-2 examination material and took the exam on October 23, 2022 and have successfully
passed the exam. This resulted in the company officially offering me the position of a compliance
officer to join them at the end of my training post my final exams.
Also, during my time in the department, we received a questionnaire from the capital market authority
to be filled and reported back to them. I have coordinated with the current compliance officer the
collection of the various information and data needed to fill the questionnaire from various departments
and we have successfully completed this task in a timely fashion.

An Assessment of the internship
Overall it was a great learning experience. I’ve learned much about the regulations of CMA as it relates
to the departments I functioned in as well I was fortunate to take on the CME-2 exam and pass while
working on the internship and taking a full course load at SEU. I was also given several responsibilities
for critical and time sensitive tasks especially in the Investment administration with the transfer of
SPVs, the distribution of dividends to investors, and with the documentation of internal processes. Also,
in the Compliance department I came to learn much about the different guidelines published by CMA
and the critical post of the compliance officer and we were tasked with compiling the answers the
questionnaire that was requested by CMA. This internship has definitely put me a step ahead towards a
career in the financial and investment sector and thankfully it resulted in me getting a job offer at the
company in a supervisory role with direct report as a testament to hard work and dedication I’ve put
during the internship and as a strong recognition of SEUs standards in its graduates where a fresh
graduate can be put directly as a manger with direct reports. Much of the activities I’ve done were not
tightly linked with my classroom knowledge. Having said that, the classroom knowledge did setup a
foundational base on which new skills and knowledge can be easily acquired within the context of the
knowledge gained from classrooms. It made communication with various stakeholders easier and

facilitated and smoothed the discussions and training introductions with the department heads. Overall,
I’m quite delighted to have gone through this experience by SEU and Arbah.

Conclusions of the report
To conclude, my experience at Arbah has been nothing short of extraordinary. It is the first and biggest
capital investment firm I the eastern region of Saudi arabia. The environment was very inviting the
culture was of balance between productivity and sociability. It is critical for university students to take
on an internship like this even if it wasn’t required by their program. It certainly has tied the topics
learned in isolation in various courses towards common purposes that is actionable and measurable in
the business world. I’ve learned much about various investment structures and regulations and the
management of investment funds. Such experience can hardly be learned in theory in a classroom but an
exposure to it and seeing it in action in real time alleviates the appreciation we have for the material
we’re learning. The financial and investment sector is a wide sector and is greatly expanding in the
kingdom especially with the initiatives of vision2030. My goals from now on is to complete my
bachelor degree, pivot into a career in the financial sector and work towards achieving the Chartered
Financial Analyst certification and an MBA. This internship was only the first step towards a long
journey of life learning.
